A Surprising Tool to Help You with Your Contract Performance   Welcome to the wonderful world of Federal Contracting Made Easy.  Where we take the complex world of government contracting and break it into simple steps that anyone can master.  This is episode number 94 and today we are going to discuss a tool to assist you in performing your contract.  But before we get started let’s roll that intro.   Welcome back.   Introduction   Up to this point you have been selling the government that your business can perform this contract.  Guess what?  Now, you must demonstrate your capabilities.   We cannot cover every situation that might be involved in any contract, but we can offer you a checklist of actions you need to take immediately upon receiving the contract.  The items on the checklist may seem obvious to you, but most companies get into trouble simply because they fail to do the obvious.   Contract Performance Checklist    Reread the Contract. You need to reread the provisions of the contract.  In fact, you need to re-read these provisions multiple times.  Recheck the delivery dates, packaging requirements, reports you may be required to submit and delivery destination.  The objective here is to make sure you have not missed anything.  We don’t want any surprises!!! Record Important Contacts. Now is the time to jot down the name, address, phone number and e-mail address of the following contacts so that the information is handy.  Procuring Contracting Officer (PCO) Administrative Contracting Officer (ACO) Paying Office Government Inspector – this person will usually contact you directly. The person may be local and will work with you to get the contract completed. If the contract is with a military agency, your local Defense Contract Management Agency (DCMA) should be a big help to you.  Think of these individuals as part of your management team to help you complete your contract.   Don’t Take Unnecessary Actions. Only act when the PCO, ACO or the Contracting Officers Representative (COR) directs you to do so.  Do not under any circumstances perform any work outside the scope of the contract when directed from anyone else.  If you do, you will be liable for any costs or consequences that may result.  In addition, only take the action when you have the action in writing.  If the COR tells you that they are going to change the contract, do not do so until you receive written direction from the Contracting Officer. Resolve Any Questions. If you have any questions regarding the meaning of a provision or if you find any inconsistencies in your contract, contact your Contracting Officer immediately and ask for a meeting or “post-award conference”.  Open the lines of communication and develop a good working relationship right away.  If you are new to the process, ask the contracting officer for all the assistance he or she is willing to give.  Remember there is no question that is “dumb” or “embarrassing”.  The embarrassing part is not performing on the contract.  Always, address any problems right away before it gets out of hand. Keep Accurate, timely &amp; Well-documented records. I cannot stress this enough.  You need to document everything.  Remember you do not have any proof of what was said and done unless you document the crap out of it.  The very last thing you want is to end up in a situation of pointing fingers.  You know the “he said”, “she said” thing.  No one wins and the relationship with the government personnel becomes strained.  We want to avoid this at all costs. Determine Internal Responsibilities. Ensure that your employees understand what is to be done and the required time frame.  This is going to help you make sure things run smoothly and that the delivery is made in accordance with contract terms. Plan Production and Issue Orders. Order any materials that require a long lead time immediately to make certain that they are arrive on time and that it does not hold up your production schedule. Produce/Provide the Service. Put into place any and all procedures that are adequate to guarantee the quality of the item and that it meets or exceeds the governments requirements.  If necessary, make sure to update your procedures and your manual.  Review Your Quality Control Program. Review your quality control procedures and make certain that they are adequate to guarantee the quality of the item being delivered. Will the item meet or exceed the government’s requirements?  You may need to update your procedures and your manual.    Create your own checklist.  Please feel free to copy the information from this article and other information in the work order or folder.  That way if you happen to miss something, it will be easier to go back and make the changes.   In Summary   Creating a checklist to assist with Contract Performance will help keep you on task.  You have worked to get this far and the last thing you want to do is fail to meet the contract requirements.  Anything that you can do to assist you in the process is going to make you successful.  It helps to be meticulous during your contract performance.    We hope you enjoyed this article and remember to subscribe, Like and comment.

We cannot cover every situation that might be involved in any contract, but we can offer you a checklist of actions you need to take immediately upon receiving the contract.  The items on the checklist may seem obvious to you, but most companies get into trouble simply because they fail to do the obvious.   Contract Performance Checklist <ul> <li>Reread the Contract. You need to reread the provisions of the contract.  In fact, you need to re-read these provisions multiple times.  Recheck the delivery dates, packaging requirements, reports you may be required to submit and delivery destination.  The objective here is to make sure you have not missed anything.  We don’t want any surprises!!!</li> <li>Record Important Contacts. Now is the time to jot down the name, address, phone number and e-mail address of the following contacts so that the information is handy. <ul> <li>Procuring Contracting Officer (PCO)</li> <li>Administrative Contracting Officer (ACO)</li> <li>Paying Office</li> <li>Government Inspector – this person will usually contact you directly. The person may be local and will work with you to get the contract completed. If the contract is with a military agency, your local Defense Contract Management Agency (DCMA) should be a big help to you.  Think of these individuals as part of your management team to help you complete your contract.</li> </ul> </li> <li>Don’t Take Unnecessary Actions. Only act when the PCO, ACO or the Contracting Officers Representative (COR) directs you to do so.  Do not under any circumstances perform any work outside the scope of the contract when directed from anyone else.  If you do, you will be liable for any costs or consequences that may result.  In addition, only take the action when you have the action in writing.  If the COR tells you that they are going to change the contract, do not do so until you receive written direction from the Contracting Officer.</li> <li>Resolve Any Questions. If you have any questions regarding the meaning of a provision or if you find any inconsistencies in your contract, contact your Contracting Officer immediately and ask for a meeting or “post-award conference”.  Open the lines of communication and develop a good working relationship right away.  If you are new to the process, ask the contracting officer for all the assistance he or she is willing to give.  Remember there is no question that is “dumb” or “embarrassing”.  The embarrassing part is not performing on the contract.  Always, address any problems right away before it gets out of hand.</li> <li>Keep Accurate, timely &amp; Well-documented records. I cannot stress this enough.  You need to document everything.  Remember you do not have any proof of what was said and done unless you document the crap out of it.  The very last thing you want is to end up in a situation of pointing fingers.  You know the “he said”, “she said” thing.  No one wins and the relationship with the government personnel becomes strained.  We want to avoid this at all costs.</li> <li>Determine Internal Responsibilities. Ensure that your employees understand what is to be done and the required time frame.  This is going to help you make sure things run smoothly and that the delivery is made in accordance with contract terms.</li> <li>Plan Production and Issue Orders. Order any materials that require a long lead time immediately to make certain that they are arrive on time and that it does not hold up your production schedule.</li> <li>Produce/Provide the Service. Put into place any and all procedures that are adequate to guarantee the quality of the item and that it meets or exceeds the governments requirements.  If necessary, make sure to update your procedures and your manual. </li> <li>Review Your Quality Control Program. Review your quality control procedures and make certain that they are adequate to guarantee the quality of the item being delivered. Is the GSA Schedule Right For My Business?

It should be easy to determine if your business is large or small. However, that is not the case, especially if you want a loan or become a government contractor. Remember, you cannot compete on small business set-asides unless you qualify as a small business. Furthermore, it will matter if you want to be eligible for SBA's loan programs. The last thing you want to have happened is to lose a government contract due to your business size. So before that happens, find out if your business is small or large.  What Does the Government Use to Determine a Businesses Size?  The North American Industry Classification System (NAIC codes) is a manual that includes definitions for each industry. NAICS codes assigned a six-digit code to twenty broad sectors. For example, if you are in general construction, your NAICS code would be 236220. NAICS code 236220 is defined as Commercial and Institutional Building Construction. If you are a government contractor, then you are already familiar with NAICS codes. The Census Bureau maintains the NAICS Code Manual, and you can go to it here.   North American Industry Classification (NAICS)   The creation of the North American Industry Classification System established industries based on similar production processes or supply based framework. This system is very comprehensive, covering all.     Economic activities. Presently, there are 20 sectors with 1,057 industries. NAICS replaced the Standard Industry Classification System (SICS).   Why mention NAICS codes?    NAICS codes are used extensively in government contracting. Every government contract will be assigned a NAICS code. The NAICS code will also determine if your business is considered large or small. NAICS is vital because a large company cannot compete on a small business set-aside. Now that we have our necessary foundation, we can move on to size status calculations.   Size Status Calculations   The U.S. Small Business Administration (SBA) is responsible for determining the size of business on government contracts and SBA loan programs. NAICS code will determine the method that SBA will use to compute whether a company is large or small.      First Method To Compute Size   The first method used is annual receipts. SBA states that annual receipts are the total income (gross income) plus the cost of goods sold. To calculate your size, take your latest three complete fiscal years' annual receipts and remember to include the cost of goods sold. Add them together and divide by three. Don't forget to include all your affiliates. But what happens if my company has not been in business for three years? Well, SBA has a calculation available to assist you with that.     Not In Business For Three Years   For businesses that have not been in business for three years, you can still compute your size. You multiply your average weekly revenue by 52 to determine your average annual receipts.   Which NAICS Codes Use Annual Receipts?   If your business provides a service, then SBA will use annual receipts. If you are not sure, you can always go to SBA's website and download the Table of Small Business Size Standards. Also, SBA provides a tool that you can use to determine the size of your company. Now let's find out the second way SBA computes the size of business. The Code of Federal Regulations covers the calculations for annual receipts in detail. Please see 13CFR121.104 for more information.   Second Method SBA Uses To Compute the Size of a Business   The second method for determining the size of the business uses employees. SBA uses the average number of personnel employed for each pay period over the company's' latest 12 calendar months. Every individual on the payroll must be included regardless of the number of hours worked or the temporary status.   Not In Business for a Full Year   If your company has not been in business for a full year, you can still compute your average number of employees. You use the number of employees averaged for each pay period that you have been in business. Just like the annual receipts, you can find the CFR reference at 13CFR121.106. We have one last topic to discuss, and that has to be with affiliation.     Which NAICS Codes Are Employee Based?   Manufacturing industries size determinations use employees to determine size. Depending on the NAICS code you look at 100 employees, 500 employees, 1,000 employees could be used to determine your size.   Affiliation   Affiliation is a complicated topic. SBA states that affiliation exists when one business has the power to control the other business. It does not matter whether that control is exercised or not. As long as the ability to control exists, then affiliation exists. SBA has a compliance guide for size and affiliation that provides detailed information. If you have any questions, see the manual for more details.   Why mention affiliation?   To accurately compute the size of your company, you need to include all affiliates in the computations. Individuals who own more than one business will need to refer to the compliance guide and the CFR to make an accurate decision on affiliation. SBA will look at the following factors in determining affiliation: ownership, management, previous relationships with or ties to another business and contractual     relationships. The CFR reference is 13CFR121.103.   We will go in-depth on affiliation in a separate article. The next topic is on adjustments to size standards.   Adjustments to Size Standards.   Each year SBA reviews approximately 20% of the NAICS to make the necessary adjustments for inflation and other determining factors. In fact, SBA will make adjustments to the size standards twice each year. Remember that not all the NAICS codes are review only 20% so that once every five years all the NAICS codes have been reviewed. How will you know when these standards are adjusted? That is very easy as you can sign up to be notified on size standard changes directly through SBA.  Many companies only sign up for notifications when their business is getting close to being considered a large business. Summary Size status determinations is a complicated process. But one that all small businesses need to comprehend. A business can only make an educated guess when they are educated. Therefore, the more time you spend educating yourself the better decision you can make.   Review the size standards for the NAICS codes used in your business. Make sure to review these NAICS codes year for any changes or signup to be notified when SBA makes these changes.     Affiliation is a complicated matter and will greatly impact the size of your business. Welcome to the wonderful world of “Federal Contracting Made Easy”, where we take the complex world of government contracting and break it into simple steps that anyone can master.  Today, we are celebrating our 95th episode and to mark the occasion we will be discussing some changes that GSA is implementing that will impact you!!!.  BUT before we get started let’s roll that into.   Welcome Back   The General Service Administration (GSA) oversees many acquisition and awards processes websites.  They are moving 10 of these online websites into one massive website.  This site will become the official U.S. Government website for people who make, receive and manage federal awards according to GSA.  New site will be called beta.sam.gov.   The following sites will be migrating over to beta.sam.gov: SAM, Federal Assistance (CFDA), Wage Determinations (WDOL), Federal Procurement Data System (FPDS), Federal Business Opportunities (FBO), Electronic Subcontracting Reporting System (eSRS) , Federal Awardee Performance and Integrity Information System (FAPIIS), Contractor Performance Assessment Reporting System (CPARS), PPRS, and Federal Funding and Transparency Act (FFATA).   SAM.GOV   All data over the original websites including entity registrations and historical contract data will be brought over to this new website.  Don’t worry you will not have to re-register as your data will automatically transitions to the new site when SAM.gov is retired.  Remember the new website will be called beta.sam.gov.   FedBizOpps.Gov   Yes, FBO is set to be decommissioned with its critical functionality being transferred to the beta.sam.gov website in the governments first quarter (Oct – Dec).   The new website will have the same functionality that is available today but will have enhancements such as:  Search Functions  Keyword Number Location   Improved and easy to read headers allowing you to find key information quickly. Option to access previous versions of opportunity notices with one click Set up notices with one click that will notify you when frequently used contract opportunities have been updated. Ability to manage alerts easily through a new user workspace A User-friendly design with logical navigation and industry best practices embedded. Shared login, search, workspace, data services, reports, and a design that will allow you to leverage other IAE system data easily.    How will the new site be organized?       Many of the features and functionality that is currently in FBO.gov will move to beta.SAM.gov under new names.   FBO – beta.SAM.gov Watchlist – Follow.  If you want to follow an opportunity you will select, follow on the display page.   Search Agent – Saved Search. Search agent will now be called Saved Search in the new website.  This will allow you to save searches directly from search results and managed from your workspace.   Archived – Inactive.  Archived will be labeled Inactive in the new website. Open notices will be labeled Active   Interested Vendor List   About the Interested Vendor List.   Current Interested Vendor Lists (IVL) will transfer to the new website Non-federal users need an account tied to an entity to use the IVL Each IVL will be tied to a specific notice Each IVL will be searchable and sortable    Implementing a New Federal Hierarchy   GSA will be combining multiple legacy hierarchies into a single hierarchy across all the new website.  Search, reports and government roles will be based on the federal hierarchy.  Federal agencies will centrally manage updates and changes to the hierarchy.  Public facing API of Federal Department/Independent Agencies and sub-tiers will be available to download.   New Accounts &amp; Migration   In order to transition roles from FBO.gov to beta.SAM.gov, you will need to create a new account in beta.SAM.gov.  As part of GSA’s ongoing efforts to enhance security and move to a single sign in for all IAE applications, we are implementing login.gov in beta.SAM.gov.   A few weeks before the transition you will need to create a new login.gov account or be ready to use your existing login.gov account.  If you have a government issued CAC/PIV card you can login using that. Friday September 20, 2019 Episode #096 Termination for Convenience. Those three little words are something that no contractor wants to hear. After all, who wants the government to seek termination actions on their contract. But let's be honest, it does happen. Contract terminations can happen at any time. Sometimes the contractor is at fault and sometimes the contractor is not at fault. Our goal for today’s episode is to educate you on the procedures that transpire when the government terminates a contract. In addition, we will go over the resources available to both parties (government and contractor). Remember the better educated you are the better business decisions you can make. Up next, we will go over the contract termination options used by the government. Types of Contract Terminations There are three types of contract terminations available to the government. The first called Terminate for Convenience otherwise known as T4C. The second called Termination for Default otherwise known as T4D. The third termination called the no-cost cancelation. Generally, contracts greater than $25,000 will contain a contract clause allowing the government to terminate the contract if the contractor defaults on the contract. The reason for this is obvious. The government needs to protect itself. Because it is in the government's best interest to do so. The Government will use a Termination for Convenience clause when it is in the Government’s best interest to do so. If you have been following along with our episodes, you will notice that this is a common theme with the government. In essence, this allows the Government an exit strategy. The government can now discontinue a contract due to technological developments that make the contract obsolete. Perhaps there is a lack of funding due to budgetary restrictions. Finally, the government can terminate the contract because the work is no longer needed. Thus, allowing the government to reallocate taxpayer money for something that needed by the government. Essentially this clause avoids liability for the government for a Breach of Contract action by a contractor. Next we will look at the Federal Acquisition Regulation (FAR) references for Termination of Convenience. FAR References for Termination of Convenience Below, I have included the FAR references for Termination for Convenience:  • 52.249.1 &amp; 2 – Fixed Price • 52.249.3 – Dismantling, Demolition, or Removal of Improvements • 52.249.4 - Services • 52.249.5 - Educational &amp; Other Nonprofit Institutions • 52.249.6 - Cost-Reimbursement • 52.249.7 - Fixed Price Architect-Engineer    It is important that you review the clauses contained in your contract. Generally these clauses are the only ones that the contracting officer can use. Make sure to go to the FAR and read about each clause. Make sure that you not only read but comprehend what is contain in the clause. Sometimes the wrong clauses added to a contract. If you suspect that a clause is not relevant contact your contracting officer immediately. Do this before you even begin work on the contract. Notifications As we discussed earlier, a termination for convenience allows the government to terminate all or part of a contract for its convenience. When the government terminates a contract for convenience, they must notify you in writing. The notice of termination must contain an effective date of the termination, the extent of the termination and any special instructions. What do you mean when you say the extent of termination? Well, the government may not eliminate the entire contract but only a portion of the contract. Thus, leaving part of the contract still intact. If the government leaves part of the contract intact then you, the contractor, will need to perform the parts of the contract that the government did not remove. Next we will discuss termination notices. Termination Notice The termination notice will instruct the contractor to stop work immediately only on the terminated portion of the contract. This includes any subcontractors that are performing work on a portion contract that the government is terminating. However, the contractor and subcontractors must still perform the portions of the contract that are not terminated. In addition, the government will settle termination claims from both the contractor and its subcontractors. Good to know right! You must follow the instructions in the termination notice. If you fail to do so you are opening yourself up to risk and expense. The government will include detail instructions on the protection and preservation of all property that is or may become government owned. Do not under any circumstances continue to perform work on any portion of the contract that the government is terminating! The chances of you being reimbursed for expenses is low. Next, we will talk about the settlement process. Settlement Because the government is eliminating part or all of a contract they still must compensate you for the work that you have performed and any preparations that were taken before the termination. In addition, the government is required to make a fair and prompt settlement with you. Generally, this will result in a negotiated agreement between both parties. The objective here is to compensate you fairly and fully for the work you have done and for any preparation you have made for the terminated portion of the contract. Also a reasonable allowance for profit is also included. This settlement is much easier in cost-reimbursement contract since you were reimbursed on a cost basis since the beginning of the contract. Furthermore, you are entitled to recover all allowable costs incurred in settling a termination for convenience. These reimbursable costs include:  • Costs incurred for work completed and accepted at the time of the Termination; • In addition, costs considered include allowable, allocable, and reasonable; • Don't forget your profit on the above costs incurred; and • Finally, close-out, demobilization, and settlement proposal costs associated with preparing a final cost proposal for submission to the government are allowable, less profit.    As soon as you receive notification that the government is going to terminate a portion or the whole contract start gathering the above information. It is in your best interest to be as detailed as possible. Besides you do not want to leave money on the table. Termination - Settlement Agreement More importantly, the government will retain the right to approve or ratify any settlements made with subcontractors. Once the government and the contractor agree to all or part of your compensation claim as a result of the termination, a written amendment is made to the contract. This is known as a settlement agreement. Your contracting officer will amend the contract accordingly. Under normal circumstances a termination will stop regular payments to you under a contract. However, since you may have money tied up in finished and unfinished products, materials and labor, most termination clauses provide you with interim financing through partial payments. In fact, discuss this with your contracting officer as soon as possible. In future articles, we will discuss your rights for termination for convenience. There are a lot of books out there on Government Contracting. I wanted to give you my thoughts on some of the books available to you. Today, we are reviewing a book written by Brad W. King. He has quite a few books available through Audible.   What do I like about this book? Well, the book is on 31 minutes in length and is very easy to understand. The author does an excellent job of making the topic fascinating, and the time flew by.  The information provided was at the 1,000-foot level. Brad tried to walk you through the process of starting a business and signing up to become a government contractor. He did an outstanding job overall.

The Ultimate Guide To The PREAWARD SURVEY     Welcome to the wonderful world of Federal Contracting Made Easy.  We are on episode number 93 and today’s topic is on preparing for the preaward survey.  But before we get started let’s roll that intro.   Welcome Back.   We have walked you through the bid process and through the evaluation process.  Now we are going to discuss the pre-award survey.   Recap   The government is responsible for evaluating a bid to determine, first and foremost the responsiveness of an offer to the solicitation.  Yes, this is a technical process and consists of checking all the paperwork.  They will also be making sure the proposal does not contain unacceptable deviations.  Lastly the government must decide whether the proposed winner is responsible and capable enough to handle the contract.   What is a Pre-Award Survey?   To assist with the determination, the government may perform a Pre-Award Survey, otherwise known as a PAS.  How in-depth is the pre-award survey?  Well, the survey must contain enough detailed to ensure that the proposed award winner has the capability to meet the requirements of the solicitation.  It may involve a team of government personnel verifying your capabilities first-hand, or it may consist of reviewing pertinent information about your company.  The end goal is to determine your capability to perform the contract!   How to Preparation for Pre-Award Survey?   Let’s look at ways that you can prepare ahead of time for the pre-award survey.  We recommend that you develop another checklist to help you through the pre-award survey.  Remember our goal is to ensure that we receive a favorable outcome!      ·      Who will meet with the government survey team?  You need to make sure that you select a person that is empowered to speak on behalf of your company.  In addition, this person needs to be known both the details of the solicitation and your offer. ·      Do you have technicians available to meet with the government?  Why?  You may have to respond to questions that the government may have. (if relevant).  ·      Identify any disparities that may exist between the solicitation and your offer that might need to be resolved during the initial meeting with the survey team. ·      How can you demonstrate actual technical capability, or development of technical capability on the proposed contract?  Have you developed the production plan? You will need to have your production plan completed and available for review by the survey team. Are your plant facilities and equipment available and operational? If they are not, be prepared to demonstrate that they can be developed or acquired in time to meet the proposed contract requirements. You will need to show that you can meet the transportation, packaging, packing and preservation conditions of the solicitation. Does the contract require industrial security clearance? How will this be obtained if required?  Do your labor resources have the proper skills or that you can hire personnel with the proper skills? Gather and have available to the survey team documentation of previous government contracts or subcontractors, or commercial orders, to demonstration a prior satisfactory performance record regarding delivery, quality and finances. Review your production plan and make sure that you can demonstrate a capability to meet contract schedules. Gather financial documentation for the team financial analyst, including the company’s current profit &amp; loss statement, balance sheet, cash flow and other important financial information. Provide a listing of available tools and equipment for the team production specialist. Do you have plans in place for vendor supplies and materials? Do you have subcontractors in place?  You will need to provide this information to the survey team to assure them that you can meet the final delivery schedule.  Make sure your plans are verifiable. Review and understand any technical data &amp; publications required under the proposed contract. Does the contract allow for progress payments? Have you prepared adequate accounting documentation for review by the audit agency representative of the survey team? Have you reviewed your quality control program and ensured that it is workable and consistent with the quality requirements stated in the contract? Be prepared to review this plan with the survey team. Is the government furnishing any equipment, property or material? If so, make sure that you have established procedures in accordance with the regulation stated in the contract. Lastly, prepare any other information or data that might be pertinent in assisting the survey team. Hello and welcome to Federal Contracting Made Easy where we take the complex world of government contracting and break it into simple steps that anyone can follow.  In episode number 110 I will be discussing my reasons for not becoming a government contractor.   -intro-   Over the last 35 years I have had thousands of companies approach me about becoming a government contractor.  As a result, I feel that I have the experience necessary to tell you like it is.  Government contracting is not for those that are not in it for the long haul.  For example, it takes time to build relationships, learn the government language, learn how to capitalize on your proposals to win contracts, get through the numerous databases that the government uses and ultimately time and experience to become successful.      Mistake #1 – Not Performing Market Research   Market research is not just something you do when putting together your business and marketing plan.    It is a necessary step to ensure that you spend your valuable time and resources appropriately.  The number one resource that any business does not have enough of is time and money.  Marketing your business to a government agency that does not use your product or service is a waste of not only your time (And the Governments) but also your money.  If you had spent just a few hours performing market research this would not have happened.  In addition, you could have already reached out to a Federal Agency that does use your products or services.  This happens more than you realize and is very frustrating not only for you but also the government representative.  Remember that you only have one chance to make a GREAT First Impression.  What do you think that government representative’s impression of your business is going to be?    Mistake #2 – Limited Bonding Capacity   For general contractors the number one limiting factor for this business is bonding.  Without bonding they cannot bid on a contract.  Yes, bonding is not required on a lot of commercial contracts.  Therefore, most new construction companies will not even know that they need bonding.   But if you reviewed a few solicitations you would see that bonding is a common requirement on all contracts. Also reaching out to several free resources they would have informed you of the bonding requirement and provide a listing of bonding agents for you to contact.     Mistake #3 - No Working Capital I cannot tell you the number of small businesses that want to get into government contracting and do not have access to a Cash, Line of Credit or loan to use as working capital. It may take the government 30 days at the earliest to 90 days worst case to pay you. Can you cover the operating expenses until you receive payment? What happens if you need to purchase inventory, equipment or materials? How are you going to continue to perform the statement of work without any cash? This happens more than you think. Plan ahead and save as much money as you can. That is what smart government contractors do. They get a line of credit before they need it if they don't have the cash reserves available. Don't wait until you get the contract to look for a loan. Mistake #4 – No Past Performance   To be brutally honest, trying to get a government contract without any past performance is not feasible.  Your chances of winning a contract is less than 1%.  The biggest help you can do for your business is to get as a minimum a few commercial contracts prior to bidding on government contracts.  For one thing, it is much easier to get a commercial contract than a government contract.  Secondly, contracting officers are going to question any business that happens to win a contract without any past performance.  Depending on how the solicitation is written they could pass over your bid.  Even if you happen to win, they are going to request a Certificate of Competency (COC).   Mistake #5 – Teaming with Another Business   Now don’t get me wrong.  Teaming with an experienced business has a ton of benefits.  However, it also has a ton of pitfalls.  For example, I have seen experienced businesses take  advantage of a small business.  The experience business may offer to use their bonding on your joint proposal.  However, in exchange since their bonding is at risk they are going to insist on an agreement (either written or oral) to protect themselves.  This is not necessarily bad.  However, if the agreement has stipulations that restrict your ability to meet the required self-performance requirements on the contract.  Or you are not in control of the project that is an issue.  The experienced business is not necessarily trying to stop you from completing the project.  Again, they are protecting their bonding because without bonding you can’t get a government contract.  Also, the experienced business may not know the rules for small businesses.  You the non-experienced business needs to insist ensure that whatever agreements you agree to do not stop you from being incompliance with federal regulations.  You must be willing to stand up for yourself.  That may entail hiring an attorney to protect yourself.   Mistake #6 – Get 8(a) Certification with Less Than 2 Years’ in Business   Let’s be honest here.  Most businesses that come into the 8(a) BD program that have less than two years in business at not utilizing the 8(a) programs to its fullest.  Why?  Because they don’t have the clientele, resources or experience to capitalize on the program. I have had a number of small businesses tell me that they wished they had waited to come into the 8(a) program until they were better established.  Why wait?  Because to fully benefit from the program you need to be able to continually market your business and perform the work.  It would be ideal to be able to hire an experienced employee that can help you through the process.  I have seen many businesses come into the program and get a contract perform the work, then have no money coming in until then get the next job.  If you could hire an employee with experience, then you can utilize their contacts to get a constant workflow into the business.  Constant cash flow can help you grow the business.    Summary   I am not trying to distinguish your burning desire to become a government contractor.  What I   am doing is trying to open your eyes that proper preparation is key in order to have the best possible outcome.  As they say preparation is key.    Government Contracting is extremely competitive marketplace.  Without the proper preparation you will not receive the results that you are looking for.  Yes, even with proper preparation does not mean you will be successful.  That is the life of an entrepreneurial.  You take risks for the chances of the ultimate award. So, do yourself and your business a favor and take the time to perform market research. Please wait to get 8(a) certified, and spend that time getting more past performance.  Also wait on teaming with an experienced contractor until you have performed at least 20 contracts.  By then you should be comfortable knowing what the government expects from you and your past performance and the question of being overly reliant on the subcontractor may not come into question.  Finally, save every penny that you can to keep in the business.  You will need the money if your business requires bonding.  Also, that money can be used as working capital or expansion.  Until next time be safe. So, they will insert clauses that provide them with an option if the contractor does not perform the work or provide the services within the time frame specified. Also, if the contractor does not use the correct materials or refuses or fails to perform the work as required. No matter what you do not want to face a Termination for Default on a government contract. If you were hiring a contractor to perform work for yourself, you would want to protect your interests also. This is good business sense. Below I have listed the FAR references for termination of default for your reference. FAR References for Terminations for Default You will find the FAR reference for Termination for Default below:  • 52.249.8 – Supply and Service, Fixed Price • 52.249.9 – Research and Development, Fixed Price • 52.249.10 – Fixed Price Construction    Up to this point we have been providing you an overview of contract terminations. Now let's go more in depth. Starting with the termination for convenience. Termination for Default Earlier, we mentioned that a termination for default means that the government believes that the contractor may have not performed on the contract in accordance with the contract terms. Now, let's look at the steps involved if the government wishes to terminate a contract for default. Memorandum for Record The first step the government will take is to deliberate and decide the most appropriate action to take. The government will not take this action lightly. To do this the government will prepare and review a Memorandum for Record which addresses the factors contain in FAR 52.249-3. Once the factors have been determined and review the government will make a termination decision. What factors will the government review? Well, the government will review and evaluate the following factors: 1. The terms of the contract along with applicable laws and regulations; 2. The specific failure by the contractor on the contract and the excuses for the failure; 3. The availability of the supplies or services from other sources; 4. The urgency of the need for the supplies and/or services. To include the time period required to obtain them from other sources as compared with the time in which delivery could be obtained from the delinquent contractor. 5. The degree of essentiality of the contractor in the Government acquisition program and the effect of a termination for default upon the contractor’s capability as a supplier under other contracts; 6. The effect of a termination for default on the ability of the contractor to liquidate guaranteed loans, progress payments, or advance payments; and/or 7. And any other pertinent facts and circumstances.   As you can imagine a termination for default has serious implications not only for the contractor but the government also. Next we will look at those implications. Impacts Both Government and Contractor As you can tell there is a ton of information that the contracting officer will have to gather and deliberate with their legal department. Basically, a termination for default hurts both parties. The government does not get the goods or services that it needs, and the contractor has a blemished record. As you can imagine a termination for default is overwhelming to the contractor. A termination for default results in suspension and debarment or criminal conviction. If you are a construction contractor your surety company will use your bond to find another contractor to perform the contract. That is if the government elects this route. All of this should not take lightly. If you are headed down this road it is imperative that you have a great legal team on your side. In addition, if your contract was terminated for default and you received a termination letter, you may still be entitled to payment for work that was properly performed in agreement with the contract before termination. Terminations - Other Factors Remember in the beginning of this blog we stated that the government may terminate a contract if it feels it is in its best interest to do so. As a result, the government has the right to termination all or only part of a contract to include:  • Attempted fraud by contractor. • Contractor failure to meet quality requirements. • The Contractor failure to deliver the supplies or perform the services within the time frame specified in the contract. • Failure by the contractor to perform any other provisions contained in the contract.    Will the government just start termination proceedings without my knowledge? No, the government will notify you. Up next, we will talk about the Delinquency Notices. Terminations - Delinquency Notices There are two delinquency notices available for use by the government. The first notice is called a “Cure Notice” and the second notice is called a “Show Cause Notice”. Basically, the FAR states that the government must notify the contractor that they are responsible for a condition that is threatening performance of the contract. See FAR 49.607 for more information on delinquency notices. Next, we will discuss the “Cure Notice”. Terminations - Cure Notice A cure notice is a written document sent to the contractor by the government, notifying the contractor that there is a contract issue that must be resolved. Cure Notices are issued when a contract is in jeopardy of being terminated prior to the delivery date. Before the government can use this notice, they must ensure that there is enough time left on the contract delivery schedule or any extension. Why? The government must provide the contractor with enough time to resolve the issues affecting the contract. This time period is generally 10 days. If the timing is not enough to permit a realistic “cure” period of 10 days or more, the “Cure Notice” cannot be issued. Terminations - Ten Days to Respond So, what happens if there is not 10 days or more available on the contract? The government has the option of issuing another delinquency notice called a “Show Cause Notice”. But first, let’s discuss what a contractor should include in their written response to the government regarding the cure notice. Contractor’s Response to Cure Notice It is imperative that you, the contractor, respond to the cure notice within the time frame specified on the letter. You will want to include the following information in your response to the government.  • Discussion of alleged problem to be a condition affecting contract performance. • Any Corrective plan to cure the alleged condition. • Who will bear the cost of the corrective work? • Schedule of performance of corrective work • Impact of corrective work on completion of the contract. • Actions that contractor has taken and will take to reduce the effect of the condition upon completion. • Government’s role in causing the condition. • Any other relevant factors bearing on timely completion of contract.    Terminations - Address All Allegations Remember that you only have 10 days to respond to the cure notice. It is important that you address all the allegations contained in the notice and present your side as best as possible. Now, let’s move on to the other delinquency notice, the “Show Cause Notice”. Terminations - Show Cause Notice As stated earlier a “Show Cause Notice” may be issued when the contract delivery schedule is not sufficient to permit a realistic cure period of 10 days or more. This notice will advise the contractor that the government is considering terminating the contract for default. Also, the government has not made a final decision on this matter. The government needs to determine if the contractor failed to perform was from causes beyond its control and without fault or negligence on the contractor’s part. Website Facebook Twitter Instagram YouTube   Gather Facts The contractor is given an opportunity to present any facts to the contracting officer (in writing) within the 10 days after receipt of this notice. If the contractor fails to present any facts within the 10-day period, the government may consider this an admission that none exist. Do not under any circumstance fail to submit your response in writing to the contracting officer. The government will consider this is an admission of fault. Besides the government may not have all the facts or may have left out important facts in your favor. What should a contractor include in their written response to a “Show Cause Notice”? That is what we will discuss next. Contractor’s Response to Show Cause Notice It is suggested that a contractor address the following when responding to a “Show Cause Notice”:  • Discuss your contract performance over the term of the contract. • Make sure you address your control over the work performed on the contract. • State your reasons why you are not at fault or negligent regarding the alleged deficiency. • Present the percentage of cost completion on the contract. • Make sure to address the fact that the project completion will be delayed because of this wrongful termination. • Include the delay to project completion caused by this wrongful termination • Address a possible conversion of Default Termination to a Convenience Termination.    Things to Consider When writing your response to either a cure notice or show cause notice it is important to remove the personal feelings from the letter and state the facts as you see them. Now is not the time to let your emotions get the better of you. Make sure that you have someone review the letter being as objective as possible. Remember a Termination for Default has serious consequences not only for you but the government also. A contractor that received a Termination for Default must disclose this fact when bidding any new work. This will impact your past performance rating as well. In addition, the government may hold the contractor responsible for costs if the default is converted to a Convenience Termination, because the contractor may pursue recovery of allowable costs associated with the termination. Is there an Excusable Behavior? If you can show that your failure to perform the contract was excusable, your contract cannot be terminated for default. In order to be excusable, the failure must be beyond your control and not your fault or neglect. Examples of Excusable Behavior The following are examples of excusable failures:  • Acts of God • Acts of public enemy • Actos of government • Fires • Floods • Epidemics • Quarantine restrictions • Strikes • Freight embargoes • Unusually severe weather.    What Happens if the Default is Excusable? If after the termination you are found not to be at default or the default is excusable, the termination will be treated as one for the convenience of the government. As a result, the government will remove the bad image that the termination for default gave you and you will recoup some of your money back as well. This is great news for you and your business. However, what happens if the buying agency or contracting officer does not agree with you? Or worse, you believe their decision is not correct? Well, the contracting regulations provide contractors with several remedies, all the way from filing a simple protest or dispute to taking the government to court. Summary While no contractor wants to face a termination for default there are things that you can do to protect yourself. The specific failure by the contractor on the contract and the excuses for the failure; 3. The availability of the supplies or services from other sources; 4. The urgency of the need for the supplies and/or services. To include the time period required to obtain them from other sources as compared with the time in which delivery could be obtained from the delinquent contractor. 5. The degree of essentiality of the contractor in the Government acquisition program and the effect of a termination for default upon the contractor’s capability as a supplier under other contracts; 6. The effect of a termination for default on the ability of the contractor to liquidate guaranteed loans, progress payments, or advance payments; and/or 7. And any other pertinent facts and circumstances. As you can imagine a termination for default has serious implications not only for the contractor but the government also. Next we will look at those implications. Impacts Both Government and Contractor As you can tell there is a ton of information that the contracting officer will have to gather and deliberate with their legal department. Basically, a termination for default hurts both parties. The government does not get the goods or services that it needs, and the contractor has a blemished record. As you can imagine a termination for default is overwhelming to the contractor. A termination for default results in suspension and debarment or criminal conviction. If you are a construction contractor your surety company will use your bond to find another contractor to perform the contract. That is if the government elects this route. All of this should not take lightly. If you are headed down this road it is imperative that you have a great legal team on your side. In addition, if your contract was terminated for default and you received a termination letter, you may still be entitled to payment for work that was properly performed in agreement with the contract before termination. Terminations - Other Factors Remember in the beginning of this blog we stated that the government may terminate a contract if it feels it is in its best interest to do so. As a result, the government has the right to termination all or only part of a contract to include: <ul> <li>• Attempted fraud by contractor.</li> <li>• Contractor failure to meet quality requirements.</li> <li>• The Contractor failure to deliver the supplies or perform the services within the time frame specified in the contract.</li> <li>• Failure by the contractor to perform any other provisions contained in the contract.</li> </ul> Will the government just start termination proceedings without my knowledge? No, the government will notify you. Up next, we will talk about the Delinquency Notices. Terminations - Delinquency Notices There are two delinquency notices available for use by the government. The first notice is called a “Cure Notice” and the second notice is called a “Show Cause Notice”. Basically, the FAR states that the government must notify the contractor that they are responsible for a condition that is threatening performance of the contract. See FAR 49.607 for more information on delinquency notices. Next, we will discuss the “Cure Notice”. Terminations - Cure Notice A cure notice is a written document sent to the contractor by the government, notifying the contractor that there is a contract issue that must be resolved. Cure Notices are issued when a contract is in jeopardy of being terminated prior to the delivery date. Before the government can use this notice, they must ensure that there is enough time left on the contract delivery schedule or any extension. Why? The government must provide the contractor with enough time to resolve the issues affecting the contract. This time period is generally 10 days. If the timing is not enough to permit a realistic “cure” period of 10 days or more, the “Cure Notice” cannot be issued. Terminations - Ten Days to Respond So, what happens if there is not 10 days or more available on the contract? The government has the option of issuing another delinquency notice called a “Show Cause Notice”. But first, let’s discuss what a contractor should include in their written response to the government regarding the cure notice. Contractor’s Response to Cure Notice It is imperative that you, the contractor, respond to the cure notice within the time frame specified on the letter. You will want to include the following information in your response to the government. <ul> <li>• Discussion of alleged problem to be a condition affecting contract performance.</li> <li>• Any Corrective plan to cure the alleged condition.</li> <li>• Who will bear the cost of the corrective work?</li> <li>• Schedule of performance of corrective work</li> <li>• Impact of corrective work on completion of the contract.</li> <li>• Actions that contractor has taken and will take to reduce the effect of the condition upon completion.</li> <li>• Government’s role in causing the condition.</li> <li>• Any other relevant factors bearing on timely completion of contract.</li> </ul> Terminations - Address All Allegations Remember that you only have 10 days to respond to the cure notice. It is important that you address all the allegations contained in the notice and present your side as best as possible. Now, let’s move on to the other delinquency notice, the “Show Cause Notice”. Terminations - Show Cause Notice As stated earlier a “Show Cause Notice” may be issued when the contract delivery schedule is not sufficient to permit a realistic cure period of 10 days or more. This notice will advise the contractor that the government is considering terminating the contract for default. Also, the government has not made a final decision on this matter. The government needs to determine if the contractor failed to perform was from causes beyond its control and without fault or negligence on the contractor’s part. Website Facebook Twitter Instagram YouTube Gather Facts The contractor is given an opportunity to present any facts to the contracting officer (in writing) within the 10 days after receipt of this notice. If the contractor fails to present any facts within the 10-day period, the government may consider this an admission that none exist. Do not under any circumstance fail to submit your response in writing to the contracting officer. The government will consider this is an admission of fault. Besides the government may not have all the facts or may have left out important facts in your favor. What should a contractor include in their written response to a “Show Cause Notice”? That is what we will discuss next. Contractor’s Response to Show Cause Notice It is suggested that a contractor address the following when responding to a “Show Cause Notice”: <ul> <li>• Discuss your contract performance over the term of the contract.</li> <li>• Make sure you address your control over the work performed on the contract.</li> <li>• State your reasons why you are not at fault or negligent regarding the alleged deficiency.</li> <li>• Present the percentage of cost completion on the contract.</li> <li>• Make sure to address the fact that the project completion will be delayed because of this wrongful termination.</li> <li>• Include the delay to project completion caused by this wrongful termination</li> <li>• Address a possible conversion of Default Termination to a Convenience Termination.</li> </ul> Things to Consider When writing your response to either a cure notice or show cause notice it is important to remove the personal feelings from the letter and state the facts as you see them. Now is not the time to let your emotions get the better of you. Make sure that you have someone review the letter being as objective as possible. Remember a Termination for Default has serious consequences not only for you but the government also. A contractor that received a Termination for Default must disclose this fact when bidding any new work. This will impact your past performance rating as well. In addition, the government may hold the contractor responsible for costs if the default is converted to a Convenience Termination, because the contractor may pursue recovery of allowable costs associated with the termination. Is there an Excusable Behavior? If you can show that your failure to perform the contract was excusable, your contract cannot be terminated for default. In order to be excusable, the failure must be beyond your control and not your fault or neglect. Examples of Excusable Behavior The following are examples of excusable failures: <ul> <li>• Acts of God</li> <li>• Acts of public enemy</li> <li>• Actos of government</li> <li>• Fires</li> <li>• Floods</li> <li>• Epidemics</li> <li>• Quarantine restrictions</li> <li>• Strikes</li> <li>• Freight embargoes</li> <li>• Unusually severe weather.</li> </ul> What Happens if the Default is Excusable? If after the termination you are found not to be at default or the default is excusable, the termination will be treated as one for the convenience of the government. As a result, the government will remove the bad image that the termination for default gave you and you will recoup some of your money back as well. This is great news for you and your business. However, what happens if the buying agency or contracting officer does not agree with you? Or worse, you believe their decision is not correct? Well, the contracting regulations provide contractors with several remedies, all the way from filing a simple protest or dispute to taking the government to court. Summary While no contractor wants to face a termination for default there are things that you can do to protect yourself.
